Important Notice
By engaging our services, accessing our website, signing a quotation/SOW, or making any payment, you acknowledge and agree to these Terms & Conditions in full. All payments are 100% NON-REFUNDABLE under all circumstances.
These Terms & Conditions ("Agreement") govern all services ("Services") provided by Goforsys Technologies Private Limited ("Goforsys", "Company", "We", "Our", "Us") to the client ("Customer", "You"). By engaging our services, accessing our website, signing a quotation/SOW, or making any payment, you acknowledge and agree to these Terms in full.
🚫1. NO REFUND POLICY (STRICT & NON-NEGOTIABLE)
All payments made to Goforsys Technologies Private Limited are 100% NON-REFUNDABLE under all circumstances.
Refunds will NOT be provided due to:
- •Project cancellation by the Customer
- •Change in requirements/scope
- •Delay from Customer side
- •Service dissatisfaction
- •Third-party failures
- •Technical limitations discovered later
- •Non-usage after delivery
- •Business outcome not achieved
Payment made = Terms accepted.
📋2. SCOPE OF WORK (SOW) & CHANGE REQUESTS (CRs)
A Scope of Work, Proposal, Estimate, or Written Confirmation defines the agreed deliverables. Anything not explicitly documented is Out of Scope and chargeable separately.
Change Requests include:
- •New features
- •Flow redesign
- •UI/UX changes
- •Additional screens
- •New integrations
- •API changes
- •Technology stack modifications
All CRs are chargeable and impact delivery timelines.
👤3. CUSTOMER RESPONSIBILITIES
The Customer agrees to:
- •Provide content, access, and approvals timely
- •Maintain infrastructure and hosting environment
- •Securely manage credentials
- •Respond promptly to queries and reviews
Goforsys Technologies Private Limited is not liable for delays caused by Customer inaction.
🛡️4. WARRANTY PERIOD & SUPPORT LIMITATIONS
4.1 30-Day Warranty
Goforsys Technologies Private Limited provides a 30-day warranty from the delivery date for bugs arising from Goforsys code.
The warranty covers:
- •Verifiable and reproducible bugs
- •Errors directly caused by the delivered codebase
4.2 Warranty Exclusions
Warranty will NOT apply if:
- •Issues are not reported in writing within 30 days
- •Bugs cannot be reproduced
- •Code is modified by Customer or third-party developers
- •Customer changes server/hosting/DNS/database configurations
- •Third-party APIs, plugins, themes, libraries introduce issues
- •Customer uploads incorrect data causing errors
- •External systems are integrated without Goforsys approval
- •Server environment differs from development environment
- •Customer makes file/folder permission changes
4.3 After 30 Days
All fixes, updates, and support after the warranty period are billable.
4.4 Warranty is Limited to Bug Fixing Only
Warranty does NOT include:
- •New features
- •Enhancements
- •UI/UX improvements
- •Performance optimization
- •Server optimization or setup
- •Debugging Customer-owned code
🔗5. THIRD-PARTY SERVICES & INTEGRATIONS
Goforsys Technologies Private Limited integrates services like:
Goforsys is NOT liable for:
- •Third-party outages
- •API rate limits
- •Update-related breakdowns
- •Deprecation of services
- •Hosting/server issues
- •Security issues on Customer-managed platforms
Any rework due to such issues will be chargeable.
💰6. PAYMENT TERMS
- •Payments must be made as per agreed milestones.
- •Delays in payment may pause the project.
- •Goforsys may withhold deliverables, code, or access until payment is cleared.
- •Late payments automatically extend deadlines.
©️7. INTELLECTUAL PROPERTY
Before Full Payment
All deliverables remain property of Goforsys Technologies Private Limited.
After Full Payment
- •Rights to the final approved deliverables transfer to the Customer.
- •Third-party libraries, plugins, and licenses remain owned by vendors.
- •Goforsys retains the right to use non-confidential work for portfolio use.
⚠️8. LIMITATION OF LIABILITY
Goforsys Technologies Private Limited is not liable for:
- •Loss of profits
- •Loss of data
- •Loss of revenue or reputation
- •Business interruption
- •Third-party service failures
- •Customer-induced errors
- •Indirect or consequential damages
Liability Cap
If liability is established, the maximum claimable amount is: ₹10,000 INR or $100 USD, whichever is lower.
🔒9. CONFIDENTIALITY
Both parties agree to protect confidential information including:
- •Credentials
- •Server access
- •Technical documents
- •Business information
- •Data and strategy
Goforsys is NOT responsible for breaches caused by:
- •Customer negligence
- •Third-party hosting issues
- •Access granted by Customer to external parties
🚪10. TERMINATION
Goforsys Technologies Private Limited may terminate a project if:
- •Payments are overdue
- •Customer violates terms
- •Third-party developers are engaged without notice
- •Customer becomes unresponsive for 14+ days
- •Customer behaves unprofessionally
No refund will be issued upon termination.
Projects abandoned for 14+ days may be marked completed.
⚖️11. GOVERNING LAW
This Agreement is governed exclusively by the laws of:
- •Republic of India (for India-based projects)
- •New Zealand (for New Zealand operations)
Jurisdiction shall lie within the courts of the respective countries.
✅12. ACCEPTANCE OF TERMS
By accessing our website, signing a proposal, or making any payment, the Customer agrees that they have read, understood, and accepted these Terms & Conditions.
Final Acknowledgment
- ✓I acknowledge all payments are 100% non-refundable
- ✓I understand the warranty period and its limitations
- ✓I agree to fulfill my responsibilities as a Customer
- ✓I accept the limitation of liability terms
